Agreement to Our Legal Terms

We operate the Baseword mobile application (the "App"), the Baseword web application available at baseword.co (the "Web App"), and any other related products and services that refer or link to these legal terms (collectively, the "Services").

Baseword is a digital word game about astronomy and fun facts related to the universe. Earn Credits by helping Oli, the robot space archivist, restore the data trails they have collected about the universe.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Olipop Software and Design LLC, concerning your access to and use of the Services. BY ACCESSING THE SERVICES, YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY ALL OF THESE LEGAL TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Services.

The Services are not directed to children under the age of 13. We do not knowingly collect personal information from children under 13. If we learn we have collected personal information from a child under 13 without parental consent, we will take steps to delete that information promptly.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

2. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

3. User Representations

By using the Services, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Legal Terms; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to: systematically retrieve data or other content from the Services to create compilations, databases, or directories; make any unauthorized use of the Services; use the Services to advertise or offer to sell goods and services; circumvent, disable, or otherwise interfere with security-related features of the Services.

5. User Generated Contributions

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services.

6. Contribution License

By posting your Contributions to any part of the Services, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt, and distribute such Contributions.

7. Purchases and Refund Policy

General: If you make a purchase through the App via the Apple App Store or Google Play Store, the refund policy of the applicable App Distributor applies to such purchases. Please refer to their respective policies for details.

Web Application Purchases (baseword.co only): Paid hint packs are currently available exclusively through the Baseword web application at baseword.co. In-app purchases are not currently offered through the Baseword or KikAssist mobile applications. This section applies solely to purchases made on baseword.co.

(a) All Sales Final: All purchases of hint packs on baseword.co are final and non-refundable, except as expressly set forth in this Section 7 or as required by applicable law.

(b) Service Disruption Refund: If a verified service outage caused solely by Olipop Software and Design LLC prevents you from accessing the Baseword web application for a continuous period of 48 hours or more, and you have an unused purchased hint balance at the time of the outage, you may be eligible for a pro-rata refund of your unused purchased hints. To request a refund under this provision, you must contact us at info@olipopsoftware.com within 30 days of the disruption with your purchase details. We reserve the right to verify the outage and the extent of impact before issuing any refund. Refunds under this provision will be issued via the original payment method where possible.

(c) Account Deletion: If you voluntarily delete your account, any unused purchased hint balance associated with that account is forfeited. No refund will be issued for unused purchased hints upon voluntary account deletion.

(d) Inactivity: Unused purchased hints do not expire due to inactivity. No refund will be issued solely because you have not played the game or used your purchased hints for any period of time.

(e) Used Hints: Once a purchased hint has been consumed in gameplay, it cannot be refunded under any circumstances.

(f) Earned Credits: Credits earned through gameplay (puzzle completion and daily streaks) have no monetary value and are not refundable under any circumstances.

(g) Payment Processing: Payments on baseword.co are processed by Stripe, Inc. By making a purchase, you also agree to Stripe\'s terms of service. Payment disputes should be initiated through Stripe\'s dispute process.

8. Software

We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement ("EULA"), the terms of the EULA will govern your use of the software.

9. Prohibited Uses of Services

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances.

9.1 Multiplayer Conduct

The following additional prohibitions apply to the multiplayer feature:

We reserve the right to terminate any multiplayer session, suspend your access to the multiplayer feature, or take other appropriate action if we determine, in our sole discretion, that you have violated any of these rules. Repeated violations may result in permanent suspension from the multiplayer feature or termination of your account.

10. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

11. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

12. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Baseword\'s application for personal, non-commercial transitory viewing only.

13. Accuracy of Materials

The materials appearing in the Services could include technical, typographical, or photographic errors. We do not warrant that any of the materials are accurate, complete or current. We may make changes to the materials at any time without notice.

14. Links

We have not reviewed all of the sites linked to our Services and are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by us of the site. Use of any such linked website is at the user\'s own risk.

15. Modifications

We may revise these terms of service for the Services at any time without notice. By using the Services, you are agreeing to be bound by the then current version of these Terms of Service.

16. Governing Law

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of North Carolina applicable to agreements made and to be entirely performed within the State of North Carolina, without regard to its conflict of law principles.

17. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy at https://baseword.co/privacy.html. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. You may request deletion of your personal data by contacting us at info@olipopsoftware.com.

18. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason or for no reason.

19. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.

20. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

21. Dispute Resolution

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.

If any provision of this arbitration agreement is found unenforceable, that provision shall be severed, and the remainder of this arbitration agreement shall be given full force and effect.

22. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys\' fees and expenses, to the extent permitted by applicable law, made by any third party due to or arising out of your use of the Services.

23. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

23.1 Multiplayer Data

By participating in multiplayer sessions, you acknowledge and agree that certain information — including your display name, avatar, scores, and game results — will be visible to other players in your session and stored as part of multiplayer achievement records. For more information about how we handle your data, please refer to our Privacy Policy.

24. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing.

25. California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

26. Virtual Goods and In-App Currency

The Services include virtual goods and in-game currency, specifically: (a) Credits — earned through gameplay activities including puzzle completion and daily streaks; and (b) Purchased Hints — acquired through paid transactions on baseword.co only. These are maintained as two separate balances.

When a player uses a hint, Purchased Hints are deducted first. If the Purchased Hints balance is zero, Credits are deducted at a rate of 500 Credits per hint. This deduction order is automatic and non-negotiable.

Credits have no real-world monetary value and cannot be exchanged for cash, gift cards, or any other form of legal tender. Credits are non-transferable and non-refundable under any circumstances. We reserve the right to modify, manage, regulate, control, or eliminate Credits at any time, with or without notice.

Purchased Hints have no real-world monetary value outside of their use within the Baseword web application and cannot be exchanged for cash, gift cards, or any other form of legal tender. Purchased Hints are non-transferable. Refunds for Purchased Hints are governed exclusively by Section 7 of these Legal Terms.

Both Credits and Purchased Hints are available exclusively within the Baseword web application at baseword.co. Paid hint purchases are not currently available through the Baseword or KikAssist mobile applications. Credits earned in the mobile applications are governed solely by the mobile app experience and carry no monetary value.

Your purchase or earning of virtual goods grants you only a limited, non-transferable, revocable license to use such virtual goods within the Services, and you acknowledge that you have no ownership interest in any virtual goods.

26.1 Multiplayer Credits

Credits may also be earned through multiplayer gameplay, including per-word scoring bonuses and end-of-round placement bonuses (1st, 2nd, and 3rd place). Multiplayer credits are added directly to your user profile credit balance and follow the same rules as credits earned through single-player gameplay: they have no real-world monetary value, are non-transferable, and are non-refundable under any circumstances.

Multiplayer placement bonuses and scoring amounts are determined by the game system and may be adjusted at any time without notice.

27. Public Multiplayer Sessions

The multiplayer feature allows you to create public waiting rooms visible to all users. When you create a public session, your display name and session details are visible to other users. You are solely responsible for the content of your display name.

We reserve the right to remove, modify, or restrict any public session or display name that we determine, in our sole discretion, to be inappropriate, offensive, misleading, or in violation of these Terms. We are not obligated to monitor public sessions but may do so at our discretion.

28. Cross-Platform Play

Multiplayer sessions may include players across different platforms (Android, iOS, and web). While we strive to provide a consistent experience, gameplay may vary slightly between platforms. We do not guarantee feature parity across all platforms at any given time and are not liable for any differences in gameplay experience between platforms.

29. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Legal Terms where such failure or delay results from any cause that is beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquake, war, terrorism, strikes, labor disputes, government actions or orders, failure of third-party telecommunications or power supply, cyberattacks, or any other event beyond our reasonable control (each a "Force Majeure Event"). In the event of a Force Majeure Event, our obligations under these Legal Terms shall be suspended for the duration of the Force Majeure Event.

30. Stripe Payments and Payment Disputes

Payments made on baseword.co are processed by Stripe, Inc., a third-party payment processor. By completing a purchase on baseword.co, you agree to Stripe\'s Terms of Service (available at stripe.com/legal) and Privacy Policy (available at stripe.com/privacy). Olipop Software and Design LLC is not responsible for any errors, failures, or unauthorized transactions that occur at the payment processor level. All payment disputes must be initiated through Stripe\'s dispute resolution process. Our refund policy, as set forth in Section 7, governs eligibility for refunds independently of any payment dispute outcome.

31. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law.
